Licence agreement

for using the product PortaBook

concluded between:

The Licensor of Seges Ltd.

(further on „The Licensor“)

and

the User of the PortaBook product

(further on „The User“)

1. Subject of the agreement

1. The subject of the agreement is to determine the conditions of the grant of licence for using the PortaBook product.

2. All other rights referring to the PortaBook product as a result of productive activity and the subject of intellectual property remain untouched.

3. The PortaBook product is composed of: Editor, Graphic template and Generator that are defined for the purposes of this agreement as:

1. Editor – is used for creating the contents of literally work or any other artistic or scientific authorial work

2. Graphic template – covering of the contents created by the generator

3. Generator – stand-alone component of editor used for creating the resultant contents by fitting the input text and the graphic template together

2. Permitted use of the PortaBook product

1. The PortaBook product can be installed and used on a computer that is in the User’s property

2. The PortaBook product can be loaded into the computer’s memory on condition that the User guarantees that the PortaBook product will be kept secure sufficiently from any possibility of its illegitimate acquisition by the third party.

3. It is possible to back up the PortaBook product for archival purposes. The User is obliged to copy the licence agreement along with the product PortaBook to the back-up medium.

4. The User is not entitled to provide the PortaBook product for the third party and is obliged to protect it from downloading it by other person.

5. The PortaBook product cannot be converted, changed, modified, adapted or altered in any way.

6. The PortaBook product is secured according to the authorial rights. The User is obliged to quote the name and the copyright supplement in every document in which the PortaBook product is used.

3. Grant of licence for using the PortaBook product

1. Based on this agreement, after meeting financial conditions, the User is given the licence to use the PortaBook product exclusively without territorial or time limitation within selected subject contents.

2. There is no way of assigning the rights for the PortaBook product, acquired by the granted licence, for the third party.

4. Price and payment conditions

1. The user acquires the licence for using the PortaBook product in a way and at length according to the article III. in accordance with the current price list given on the web page.

2. The User is entitled to use the PortaBook product since the day of crediting the paid price to the account of the Licensor who will subsequently notify the User immediately.

3. The Licensor is not obliged to substitute the PortaBook product or return the paid price in case the product is not functional because of accident, misuse, theft, natural disaster, disregard etcetera.

4. The Licensor is not responsible for subsequent direct and indirect damage that was caused by illegitimate use of the PortaBook product.

5. Licence cancellation

1. In case the User does not fulfil any of the conditions of the licence agreement, the Licensor is entitled to cancel the granted licence for using the PortaBook product without any financial refund.

6. Closing regulation

1. The contents of the agreement cannot be modified or altered in any way.

2. The agreement is under the control of legal system of the Slovak Republic.

3. By using the PortaBook product in the compliance with the contents of the agreement, it is given the permission for conclusion of the agreement.
